A non-disclosure agreement allows you to specifically define “confidential information” in writing. Trade secrets, information, documents or any other relevant material can be included in a non-disclosure agreement so as to prevent a leaving employee from disclosing sensitive information relating to the business. A non-disclosure agreement may also be entered into by parties for the purpose of undertaking due diligence before the sale of business, or to protect confidential information during preliminary discussions.
