Fully diluted shares refer to the total number of shares a company would have on issue if all securities that are convertible into shares, or that are subject to vesting, actually converted or vested.
This “fully diluted” number includes shares that are not yet vested, convertible notes, options to acquire shares and SAFE instruments.
